Terms of Service

These terms of service govern the use of the procode.me website and working with ProCode. By using the website or ordering our services, you accept these terms, so please read them carefully.

If you sign an offer or contract with us, that document takes precedence over these terms.

1. About us

ProCode is a software company based in Podgorica, Montenegro. For questions about these terms, write to [email protected] or call +382 63 430 043.

2. Services

We provide the following services:

  • AI solutions: AI assistants and chatbots, an AI phone operator and AI switchboard in Montenegrin, AI document search and business process automation.
  • Custom business platforms: ERP, CRM and DMS systems, portals and marketplace platforms.
  • Website and web application development.
  • Mobile app development for iOS and Android.
  • Maintenance and technical support.

3. Use of the website

By using procode.me, you agree that you will not:

  • use the website for unlawful purposes;
  • attempt unauthorised access to the website, its servers or connected systems;
  • send spam, malicious content or automated messages through the contact form;
  • infringe the copyright in the text, images, logos or other content of the website.

We reserve the right to restrict access for anyone who breaches these rules.

4. Website information, prices and offers

  • Prices on the website: amounts marked “from” are indicative starting prices for guidance only.
  • Binding agreement: the exact scope, price and deadlines are set out in a written offer or contract, which takes precedence over information on the website.
  • Proposal pages: offers we share through dedicated links (/ponuda/…) are confidential, intended only for the recipient and valid for the period stated in them.
  • Accuracy: we aim to keep the website accurate and up to date, but its content is not a binding offer.

5. Client obligations

As a client, you agree to:

  • provide accurate and complete information needed to deliver the project;
  • respond to requests for feedback and approvals in good time;
  • meet the agreed deadlines for supplying materials, content and access;
  • not use the delivered solutions for unlawful purposes.

6. Payment

  • Prices are agreed individually for each project.
  • All prices are in euros (EUR) unless agreed otherwise.
  • Payment follows the agreed schedule: in advance, in instalments or on completion of the project.
  • Invoices are due within 15 days of the issue date unless agreed otherwise.
  • If payment is late, we reserve the right to pause work on the project until the outstanding amount is paid.

7. Intellectual property

The content of procode.me, including text, graphics, logos, images and software code, belongs to ProCode or its partners and is protected by copyright law.

  • Project ownership: code and design created for a client become the client’s property once paid in full.
  • Portfolio: ProCode may show the project in its portfolio unless agreed otherwise.
  • Third-party software: third-party libraries and frameworks are used under their own licences.

8. AI solutions

The following also applies to AI assistants, chatbots, the AI phone operator, AI document search and other AI solutions:

  • Possible errors: answers from chatbots and the AI operator, search results and AI-generated summaries may contain errors or incomplete information.
  • Responsibility for use: the client is responsible for how the outputs are used and for human oversight of important decisions.
  • Informing users: where required by law or good practice, the client must inform its users and callers that they are communicating with an AI assistant.
  • Right to data: the client guarantees that it has the right to provide the data and documents used in the project.
  • Client data: client data remains the client’s property and is used only for that client’s project, never to train models for other clients.
  • Models and infrastructure: ownership and terms of use for fine-tuned models and infrastructure are defined in the contract.

9. Confidentiality

Both parties agree to keep confidential any information they receive during the collaboration, including business data, documentation and access credentials, and not to disclose it to third parties without the other party’s consent. On request, we also sign a separate non-disclosure agreement (NDA).

10. Warranty and support

  • Warranty period: every project comes with a 30-day warranty period after delivery.
  • Bug fixes: during the warranty period we fix bugs in the delivered solution free of charge.
  • Out-of-scope changes: changes and additions that were not part of the original request are not covered by the warranty.
  • Maintenance: extended support and maintenance are contracted separately.

11. Hosting, third-party services and availability

Hosted solutions and third-party services that we use or integrate, such as hosting, email delivery, app stores and payment providers, are also subject to those providers’ terms.

We do not guarantee uninterrupted availability of the website or hosted solutions unless a service level agreement (SLA) has been agreed in the contract.

12. Limitation of liability

ProCode is not liable for:

  • indirect, incidental or consequential damage arising from the use of our services;
  • interruptions caused by circumstances beyond our control, such as hosting provider failures or internet outages;
  • loss of data or revenue arising from the use of, or inability to use, our services;
  • the content of third-party websites we link to.

Our total liability for any claim is limited to the amount you paid for the specific service.

13. Termination

  • Either party may end the collaboration with at least 15 days’ written notice.
  • On termination, the client must pay for the work completed up to the termination date.
  • ProCode must hand over all materials completed up to the termination date.

14. Personal data

How we collect, use and protect personal data is described in our Privacy Policy, which forms part of these terms.

15. Governing law

These terms are governed by the laws of Montenegro. Disputes that cannot be resolved amicably fall under the jurisdiction of the court in Podgorica.

16. Changes to these terms

We may update these terms from time to time. Changes take effect when published on this page, and the date of the latest update is shown at the top of the document.
